Many of our clients operate in regulated health and wellness settings. Tridevi is a marketing services provider and is not a covered entity under HIPAA. We design our campaigns to avoid collecting or exposing protected health information, and we use PHI-safe tracking and compliant creative practices. Where we handle information on behalf of a covered-entity client, we will enter into a business associate agreement (BAA) where one is required by law.
8. How We Share Information
We do not sell your personal information. We share information only with service providers who help us operate, with a client whose campaign the information relates to, when required by law, or in connection with a business transfer. 3. No Guarantee of Results
Marketing outcomes depend on many factors outside our control, including your offer, pricing, market, responsiveness, and platform behavior. While we apply professional skill and care, we do not guarantee specific results, such as a particular number of leads, bookings, conversions, revenue, followers, or return on ad spend. Any examples, case studies, or projections are illustrative and not promises of future performance.
4. Client Responsibilities
- Provide timely access, assets, approvals, and accurate information needed for the work.
- Ensure your business, offers, and any claims comply with applicable laws and platform policies.
- Maintain your own advertising and software accounts and pay platform or media costs unless otherwise agreed.
- Obtain any required consents for contacting your leads and clients by email or SMS.
5. Fees & Payment
Fees, billing cycles, and payment terms are described in your proposal or agreement. Unless stated otherwise, fees are due as invoiced, and advertising or media spend is separate from our service fees. Late or missed payments may result in paused work.
6. Intellectual Property
Subject to full payment, final deliverables we create specifically for you are yours to use for your business. We retain ownership of our pre-existing materials, methods, templates, tools, and know-how, and may use general skills and experience gained on other engagements. You retain ownership of materials you provide to us and grant us a license to use them to perform the services.
7. Confidentiality
Each party agrees to protect the other's non-public business information and to use it only to perform or receive the services. This does not apply to information that is public, already known, independently developed, or required to be disclosed by law.
8. Compliance & Health Marketing
Our clients often operate in regulated health and wellness settings. We design campaigns to be HIPAA-aware, using PHI-safe tracking and compliant creative. Tridevi is a marketing provider and not a covered entity; you remain responsible for your own regulatory obligations, including how you handle patient and client information.
9. Third-Party Platforms
Our services rely on third-party platforms (such as Meta, scheduling tools, and email and automation providers). We are not responsible for the availability, policies, pricing, or actions of those platforms, including account suspensions or changes to their features.
10. Limitation of Liability
To the fullest extent permitted by law, Tridevi is not liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, data, or goodwill, arising out of or related to the services or these Terms. Our total liability for any claim will not exceed the fees you paid to us for the services giving rise to the claim during the three (3) months before the event that caused the claim.
11. Termination
Either party may terminate an engagement as described in the applicable agreement, or with reasonable written notice where no term is specified. Upon termination, you remain responsible for fees and costs incurred through the effective date of termination.
12. Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in California, unless your separate agreement provides otherwise.
13. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date above reflects the most recent version. Continued use of the site or services after changes means you accept the updated Terms.
